1. Agreement
These Terms govern access to ContractorComply’s websites, applications, support, and related services (the “Service”). By creating an account, starting a trial, purchasing a subscription, or using the Service, you agree to these Terms and our Privacy Policy. If you use the Service for a company or other organization, you represent that you have authority to bind that organization.
2. Eligibility and accounts
You must be legally able to enter a binding agreement and provide accurate account information. You are responsible for safeguarding credentials, controlling authorized users, assigning appropriate roles, and notifying us promptly of suspected unauthorized access. Accounts may not be shared outside the subscribing organization.
3. What the Service does
The Service helps organize projects, requirements, contractors, documents, dates, payroll-related records, support requests, and operational alerts. ComplyWatch and similar features apply rules to information supplied by users. Results may be incomplete, outdated, or incorrect when source information is missing, inaccurate, or changed.
4. Customer responsibility
You—and the qualified professionals you select—remain solely responsible for interpreting contracts and laws; choosing wage determinations and worker classifications; calculating, approving, certifying, and submitting payroll; determining licensing, insurance, safety, apprenticeship, DBE, reporting, and retention obligations; meeting deadlines; and making final compliance decisions. You must independently verify information before relying on it for payment, certification, bidding, employment, or regulatory purposes.
5. Uploaded information
You retain ownership of information and files you submit (“Customer Data”). You grant ContractorComply a limited right to host, process, transmit, back up, and display Customer Data only as necessary to provide, secure, support, and improve the Service. You represent that you have the right and authority to upload and process the Customer Data.
6. Sensitive information
Do not upload passwords, private API keys, complete payment-card numbers, Social Security numbers unless expressly required by an enabled feature, protected health information, export-controlled material, or information you are not authorized to process. Use available redaction and access controls. The Service is not currently represented as compliant with HIPAA, FedRAMP, CMMC, or any other specialized security certification.
7. Acceptable use and restrictions
You may not misuse the Service, attempt unauthorized access, interfere with its operation, introduce malicious code, violate another person’s rights, use it for unlawful discrimination or surveillance, or upload illegal or infringing material. Except where applicable law expressly permits otherwise, you may not copy, reproduce, modify, distribute, sell, sublicense, publish, scrape, frame, mirror, reverse engineer, decompile, disassemble, extract, or attempt to derive the source code or nonpublic operation of ContractorComply; remove proprietary notices; use unauthorized automated access; or use access to the Service or its nonpublic materials to create a substantially similar or competing product. We may restrict activity that threatens customers, the Service, or third parties.
8. Trials, subscriptions, and billing
Trials and plan limits are described at signup or on the pricing page. Paid subscriptions renew automatically for the selected billing interval until canceled. Stripe processes payments. Prices, taxes, plan limits, and renewal terms are presented before purchase. Cancellation stops future renewal but does not ordinarily refund amounts already paid, except where required by law or expressly stated in writing. Access may be limited after a failed payment, cancellation, or trial expiration.
9. Availability and changes
We work to keep the Service available but do not guarantee uninterrupted or error-free operation. Features may be added, modified, limited, or discontinued. We may perform maintenance, respond to security events, and use service providers to operate the Service.
10. Third-party services
The Service relies on third-party infrastructure and payment, authentication, storage, hosting, and email providers. Their availability and separate terms may affect the Service. Links or integrations do not constitute legal or compliance endorsements.
11. Confidentiality and security
We use reasonable administrative, technical, and organizational safeguards appropriate to the Service. No system is completely secure. You must configure access appropriately, maintain secure devices and accounts, and promptly report suspected incidents to support@contractorcomply.us.
12. Proprietary rights and copyright
ContractorComply, including its software, source and object code, interfaces, workflows, selection and arrangement of features, templates, designs, graphics, documentation, website content, branding, compilations, and other original materials, is proprietary and is protected by United States and international copyright, trademark, trade-secret, and other applicable intellectual-property laws. Except for the limited, revocable, nonexclusive, and nontransferable right to use the Service under an authorized trial or paid subscription, no ownership interest, license, or other right is transferred to you. These protections and restrictions do not give ContractorComply ownership of Customer Data; customers retain ownership of information and documents they lawfully submit as described in Section 5.
13. Feedback
If you provide suggestions, you permit us to use them without restriction or compensation, provided we do not publicly identify you without permission.
14. Disclaimers
To the maximum extent permitted by law, the Service is provided “as is” and “as available.” We disclaim implied warranties of merchantability, fitness for a particular purpose, title, non-infringement, and any warranty that use of the Service will establish compliance, prevent losses, secure payment, or satisfy an agency, owner, auditor, or court.
15. Limitation of liability
To the maximum extent permitted by law, ContractorComply will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages; lost profits, revenue, contracts, data, or business opportunities; project delay; withheld payment; wage assessments; penalties; or claims arising from customer decisions. Aggregate liability arising from the Service will not exceed the amount paid for the Service during the twelve months preceding the event giving rise to the claim. Some jurisdictions do not allow every limitation, so portions may not apply.
16. Indemnification
To the extent permitted by law, you agree to defend and indemnify ContractorComply from third-party claims arising from your Customer Data, unlawful use, violation of these Terms, or employment, payroll, contracting, safety, or compliance decisions made by you or your representatives.
17. Suspension and termination
You may stop using the Service and cancel through available billing controls. We may suspend or terminate access for nonpayment, material breach, unlawful activity, security risk, or harm to the Service or others. Data export and deletion requests are subject to verification, legal holds, backup cycles, and documented retention obligations.
18. Disputes and governing law
Before filing a formal claim, both sides agree to attempt good-faith resolution by written notice sent to the account email and to support@contractorcomply.us. These Terms are governed by the laws of the State of Illinois, without regard to conflict-of-law principles. Unless applicable law requires otherwise, claims relating to the Service must be brought in a court with jurisdiction in Illinois, and each party consents to that jurisdiction.
19. Changes
We may update these Terms. Material changes will be communicated through the Service or by email when practical. Continued use after the effective date of revised Terms constitutes acceptance where permitted by law.
